1. Who you are contracting with
BLANK DIAL SUPPLY CO., LIMITED, Dongguan, Guangdong, China. An order is accepted when we issue a proforma invoice and
receive the deposit; until then, a quote is an invitation to order, not a contract.
2. Prices
USD, ex factory, per unit, excluding freight, insurance, duties and taxes. Published quantity
breaks apply as listed. A quote is valid 30 days. Obvious pricing errors may be corrected before
the deposit is taken.
3. Payment
Samples in full before dispatch. Production 30% deposit, 70% against the inspection report.
Late balance delays shipment, not the production slot — the slot cannot be re-let.
4. Delivery
Lead times are counted from deposit and artwork approval, whichever is later. Dates are given in
good faith and are not a guarantee unless a penalty clause is signed separately. Risk passes at
the Incoterm named on the proforma.
5. Artwork and intellectual property
You warrant that artwork you send does not infringe a third party’s rights, and you indemnify us
against claims arising from it. We do not print a mark we cannot verify you own. Artwork remains
yours; we keep no film and print it for nobody else.
6. Inspection and acceptance
AQL 2.5 visual, 100% timing and pressure test. Third-party inspection at your cost, before
packing. A lot is accepted if it passes inspection; defects found after delivery follow the
returns policy, not the inspection report.
7. Warranty and liability
24 months on the movement, parts and labour, excluding water ingress after a caseback has been
opened elsewhere, impact damage and strap wear. Our total liability for any order is limited to the
invoice value of that order. We are not liable for lost profit, lost resale or consequential loss.
8. Force majeure
Movement supply, steel allocation, port closure, epidemic control measures and freight capacity
are named risks. If one of them stops a run, we tell you within five days, and you may cancel the
unshipped balance for a full refund of the deposit on it.
9. Governing law
The laws of the People’s Republic of China. Disputes go to the competent court at the place of
the seller’s registration after 30 days of good-faith negotiation. Nothing here removes a consumer
right you have under mandatory law in your own country.
10. Whole agreement
The proforma, these terms and the artwork approval together are the whole agreement. Anything
agreed verbally is written into the proforma or it does not exist.
